By accessing or using the website located at www.bruxsyn.com, any associated mobile or other online applications, or other websites, pages, or online accounts owned or controlled by us or our affiliates that link to these Terms (collectively, the “Site”), or by using the services, tools, or features available on the Site (each a “Service,” collectively, the “Services”), creating an account, subscribing, or making a purchase, you acknowledge and agree that:

1. You have read, understand, and agree to be bound by these Terms—including any supplemental terms that apply to specific Services, promotions, or programs (e.g., loyalty or referral programs).

2. You are of legal age to form a binding contract in your jurisdiction (at least 18 years old), or, if under 18, you use the Site only with involvement and consent of a parent or legal guardian. Minors are prohibited from using the Site without such supervision.

2.2 Use Restrictions

Without limiting the foregoing, you agree not to:

a. Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without express permission.
b. Frame or utilize framing techniques to enclose any trademark, logo, or proprietary information (e.g., images, text, layout).
c. Use meta tags or “hidden text” utilizing Bruxsyn®’s name or marks.

e. Use manual or automated software (e.g., spiders, robots, scrapers, crawlers) to access, extract, harvest, or copy data or content from the Site—unless explicitly allowed by Bruxsyn®.

g. Use the Site to transmit spam, chain letters, or unsolicited bulk communications.

By entering into these Terms and/or using the Site or Services, you consent to receive certain communications from Bruxsyn® and our affiliates. This includes transactional, operational, and informational messages via email, SMS, MMS, push notifications, or other electronic methods regarding:

• Marketing materials, promotions, or news, if you have opted in for such communications

You agree that these communications may be delivered via automated means (e.g. autodialer), and message and data rates may apply, depending on your carrier. This echoes Nutrafol’s commitment to transparency regarding communication practices.

3.2 Account Creation & Responsibility

When registering for an account, you agree to:

• Provide accurate, complete, and current information (“Registration Data”)

• Maintain and promptly update such information to keep it accurate

You represent and warrant that:

• You are at least 18 years of age and legally capable of forming binding contracts

• You are not using the Site while on suspension or as a banned party

• You will only have one account unless we expressly permit otherwise

• You are not otherwise barred from using the Site in your jurisdiction

We reserve the right to suspend or terminate your account and refuse access or orders if your information is false, incomplete, or violates these Terms. 

3.3 Account Security

You are fully responsible for:

• All activities that occur through your account, whether or not authorized by you

• Protecting your password and access credentials from unauthorized use

If you suspect unauthorized access to your account, you must notify us immediately. We will not be liable for losses caused by unauthorized access where you failed to protect your account.

• Product listings, images, specifications, and pricing on the Site may vary depending on location, stock availability, or system updates. While we strive for accuracy, all information is subject to change without notice.

• Such listings do not constitute a binding offer; instead, submitting an order is your offer to purchase, and acceptance only occurs when we ship the product.

4.2 Order Acceptance & Cancellation

• When you place an order, we will send an email confirming receipt. This is not order acceptance. Your order is accepted only when we either ship the product or explicitly confirm acceptance.

• We reserve the right to refuse or cancel any order at our discretion—even after acceptance—due to reasons like pricing errors, product discontinuation, or stock unavailability.

4.3 Subscriptions & Auto-Renewal

• For products offered via subscription, your order constitutes a request to subscribe. Subscription purchases renew automatically at the then-current price and billing frequency—unless you cancel by the end of your billing cycle. 

• You may cancel a subscription at any time via your Bruxsyn® account portal or by contacting customer service. Cancellation takes effect from the next billing period onward. 

• If an order or renewal fails due to payment issues, we may attempt re-billing or cancel the subscription based on your account status and our policies.

4.4 International Shipping

• We support international orders. However, you are responsible for any import duties, customs fees, local taxes, or restrictions in your country. Bruxsyn® holds no liability for delays, refusals, or additional charges by customs authorities.

• We aim to comply with local regulations but cannot guarantee delivery in all jurisdictions, especially where specific supplements might be restricted.

4.5 No Resale or Redistribution

• Purchases from the Site are strictly for personal, non-commercial use. Resale, bulk purchasing, or commercial redistribution is expressly prohibited unless you have written permission from Bruxsyn®.

5.1 Disclaimers of Warranties

• To the fullest extent permitted by law, Bruxsyn® disclaims all liability for any inaccuracies, delays, or omissions in the Site content or products—even if arising from negligence or other wrongdoing.

5.2 Limitation of Liability

• YOU AGREE that in no event shall Bruxsyn®, its affiliates, officers, directors, employees, or agents (“Bruxsyn® Parties”) be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to: lost profits, loss of data, business interruption, or costs of procurement of substitute goods or services—even if Bruxsyn® was advised of the possibility of such damages, and regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).

• YOUR SOLE REMEDY for any dissatisfaction is to discontinue using the Site and Services, and, if applicable, initiate a return under the applicable Return & Refund Policy.​

5.3 Release

To the maximum extent permitted by law, you hereby release and forever discharge the Bruxsyn® Parties from any claims, demands, liabilities, or damages—whether known or unknown, asserted or unasserted—arising out of or related to:

• Your use of the Site, Services, or products

• Any interactions with third-party services or content accessed via the Site​

5.4 No Medical Advice

• All content provided by the Site—whether written, media, or interactive—is for informational purposes only and not medical advice. You should always consult a qualified healthcare provider before using any supplements, especially if you are pregnant, nursing, under medical care, or on medications.

• Bruxsyn® does not endorse any specific treatment or claim health benefits; products are not meant to diagnose, treat, cure, or prevent any disease, and are not evaluated by any healthcare regulatory body.

 

6.1 Agreement to Arbitrate

To the fullest extent permitted by applicable law, you and Bruxsyn® agree that all disputes, whether arising in contract, tort, statute, regulation, or otherwise, between you and Bruxsyn® shall be resolved exclusively by final and binding arbitration, and not by court trial, except as provided below.

Excluded Claims: Either party may choose to pursue a dispute in small claims court if it qualifies. Additionally, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property rights.​​

6.2 Class Action & Jury Trial Waiver

You and Bruxsyn® expressly waive any right to a jury trial and to participate in any class, representative, or consolidated proceeding. Disputes shall be resolved solely on an individual basis. If any claim is permitted to proceed as a class, the entire arbitration provision becomes null and void—forcing all parties to litigate in court.​

6.3 Opt-Out Option

If you wish not to be governed by this arbitration agreement and class action waiver, you must send a written Opt-Out Notice within 30 days of your first purchase. The notice must include your full name, contact details, a clear statement of your intent to opt out, and your signature. If timely and valid, you will be excluded from binding arbitration and retain access to court remedies.

6.4 Arbitrator Selection & Rules

• Disputes will be resolved by arbitration administered by a reputable body such as AAA (American Arbitration Association) or NAM (National Arbitration and Mediation), governed by their applicable consumer rules.

• The arbitrator—not any court—shall have exclusive authority to determine the arbitrability and enforceability of this arbitration provision and the class action waiver.

6.5 Location & Governing Law

• Arbitration will take place at a mutually agreed location or via remote procedures.

• These Terms, including the arbitration provisions, shall be governed by and construed under the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law rules.

6.6 Venue for Non-Arbitrable Claims

If a claim is determined by an arbitrator or court to be non-arbitrable or if you properly opt out, the exclusive venue shall be the courts of competent jurisdiction in Hong Kong, and you consent to their personal jurisdiction.
